BINDING CONTRACT
Details
of the reinsurance requirements of ceding companies and any indication of
interest to accept any such risks by an insurer provided on or through this
site shall be treated as invitations to treat and offers respectively, but no
acceptance of any offers in respect of such matters shall be deemed to be made
on or through this site. Cosmos shall arrange for the ceding companies and
reinsurers to enter into discussions with a view to entering into binding
contracts of reinsurance. Cosmos does not guarantee that binding contracts will
result.
4. COPYRIGHT AND SUBMISSIONS
Cosmos
is the owner of all information provided on or through this site, whether
provided by Cosmos or any other person, and such information may not be
reproduced, distributed or published in any medium for any purpose without
prior express written consent from Cosmos. Cosmos shall have the right to use
any idea, concept, know-how or technique in any information provided on or
through this site by any person for any purpose, and shall have no obligation
to keep such information and its confidential except as provided in a written agreement
between Cosmos and the relevant person or required by law.

8. FACULTATIVE PLACEMENT
PROCESS
8.1
A user of the Facultative Placement Process (“Process”) shall not disclose its
company code and password (the “Codes”) to any other person, and shall be solely
responsible for the use and protection of the Codes and all information entered
through the Process using the Codes.
8.2 Cosmos may at any time
block access to the Process without prior notice.
8.3 A user shall forthwith
notify Cosmos if:
8.3.1
it becomes aware of any apparent unauthorised use of any of its Codes; or
8.3.2
it experiences any problems in accessing the Process.
8.4 The use of the Process by
a user and any software provided for use in accessing or using the Process is
at the risk of the user. A user shall
provide and maintain, at its own risk and cost, the connection equipment
(including personal computers and modems) and services for accessing and using
the Process.
8.5 A user shall use materials available through the Process for its own
purposes and shall not resell access to any such materials or otherwise deal
with them in any way.
8.6 A user shall not tamper
with, modify, de-compile, reverse engineer or otherwise alter in any way, and
shall not attempt to gain unauthorised access to any part of, the Process or
Cosmos’s web sites or any of the software comprised in them. A user shall
notify Cosmos immediately if it becomes aware that any such action is being
perpetrated or attempted by another person.
8.7 A user agrees that
Cosmos may use such authentication technologies as it deems appropriate in
providing the Process.
9. E-MAIL COMMUNICATION
The
Internet is an inherently unreliable medium of communication, and such
unreliability is beyond the control of Cosmos. In particular, e-mail over the
Internet may be subject to interruption, transmission blackout delayed
transmission due to data volume, or incorrect data transmission due to the
public nature of the Internet, and as a result of such unreliability, there may
be time-lags or delays in the transmission and receipt of information.
10. SECURITY MEASURES
There
are in place security measures to protect users of the website. In particular,
users of the Process must enter the Codes for security check and control
purposes.
